Installing new trunk mats

Bought new trunk mats for my son's '66 bird for Xmas. In tearing out the old ones, we find the material underneath (looks like some sort of insulation...an oily black mat) is very deteriorated. Is there somewhere I can get a replacement? The trunk has been leaking and parts of this stuff are crumbling. It seems a waste to put in new mats on top of this mess. What is it called? It seems as though it might have some insulating qualities, but I don't know. Any possible substitution if this is not available?

the material you refer to is a very heavy type of tar paper and is used for sound deadening purposes. I have new stuff like this and it comes in a roll large enough to do your whole trunk.
